The Supplier Data used to provide the International Address Cleansing Dataset is supplied by a number of GBG’s Suppliers, including Canada Post. GBG is obliged under the terms of its agreement with Canada Post (Supplier 2) to ensure that all End Users agree to comply with the following licensing Supplier 2 provides GBG with Canada address data.
1. DEFINITIONS
1.1. In these Additional Terms, the following definitions shall apply, in addition to the definitions set out in the General Terms and Product Terms:
“End User Data” means any data provided to GBG by the End User for processing in accordance with the terms of the Agreement including where relevant any personal data.
“Permitted Purpose” means the purposes, restrictions and/or conditions for the use of the Dataset outlined by the Supplier as set out in clauses 2.3 – 2.6 below, in addition to the Customer Use Case set out in the Agreement and at clause 2.1.
2. USE OF THE DATASET
2.1. This Dataset may only be used for the Customer Use Case detailed in this clause 2.1, provided that such Customer Use Case is selected on the End User’s Order Form and the End User complies with any use case restrictions set out in the Agreement or these Additional Terms:
• Customer Management (Data Quality)
• Customer Management (Indicators)
• Records Management (Appending)
• Records Management (Data Quality)
2.2. In addition to the Customer Use Case restrictions contained within clause 2.1 (including any conditions that apply to that Customer Use Case) the following terms set out in clauses 2.4-2.6 also apply.
2.3. GBG is entitled under the terms of its agreement with Canada Post to allow End Users to benefit from the Supplier Data as part the Dataset only, but the End User shall not be granted direct access to the Supplier Data.
2.4. For the avoidance of doubt, notwithstanding any provisions in the Agreement, the End User shall not have any right to distribute the Dataset or Supplier Data on a stand-alone basis or for the purposes of use with any product other than as set out in these Additional Terms.
2.5. The End User acknowledges that this Dataset may not be used for mail preparation purposes. This prohibition applies without limitation to the following:
(i) Addressing mail;
(ii) Pre-sorting addressed mail; and
(iii) Preparing unaddressed mail by householder count for delivery.
2.6. The End User warrants that it will not use this Dataset for any reason outside of the Customer Use Case and Permitted Purpose.
3. LIABILITY
3.1. Notwithstanding the liability of the End User to GBG as set out in the General Terms, the End User’s liability for breach of these Additional Terms shall be unlimited.
3.2. The End User shall indemnify Canada Post and its officers, employees and agents from all claims whatsoever alleging loss, costs, expenses, damages or injuries (including injuries resulting in death) arising out of the End User’s use of the Dataset and Supplier Data.
3.3. GBG and Canada Post shall not be liable in respect of any claims whatsoever alleging any loss, injury or damages, direct or indirect, which may result from the End User’s, or any of its users’ or End Users’ possession or use of the Dataset or Supplier Data including any loss of revenue or any other consequential loss of any kind resulting from any defect in the Dataset or Suppler Data.
4. EXCLUSION OF WARRANIES
4.1. The End User expressly waives all warranties or conditions not expressly set out in these Additional Terms including, but not limited to, implied warranties or conditions of merchantability and fitness for a particular purpose and those arising by statute or otherwise in law or from course of dealing or usage of trade.
4.2. GBG and Canada Post do not warrant that the Dataset or Supplier Data will meet all or any of End User's particular requirements, that the Supplier Data will be error free, uninterrupted or that all errors in the Supplier Data can be found in order to be corrected.
5. INTELLECTUAL PROPERTY RIGHTS
5.1 Canada Post is the owner of copyright in the Canada Post Data. The End User acknowledges that it is only licensed to use the Dataset and Supplier Data in conjunction with the GBG Service specified in the Agreement in accordance with these Additional Terms.
6. DATA PROTECTION AND COMPLIANCE WITH RELEVANT LAWS
6.1 GBG provides this Dataset in its capacity as an independent controller.
6.2 GBG does not transfer End User Data to the Supplier to provide this Dataset.
7. MATCHING RULE
7.1. This Dataset will be processed against the Standard Matching Rule of address only.
