Service Schedule

This Service Schedule is supplementary to the GBG Terms and applies to the Loqate ANZ Service. Additional Terms apply where the relevant Datasets are selected on the Order Form. 

1. DEFINITIONS AND INTERPRETATION

In this Service Schedule the following definitions shall apply in addition to those contained within the GBG Terms: 

Batch Service” means the processing and enhancement of Input Materials by GBG and the delivery of Results to the Customer by data file; 

Loqate ANZ Additional Terms” means the supplementary terms relating to particular Datasets and/or aspects of the Service as updated from time to time which are available at https://www.gbgplc.com/en/legal-and-regulatory/legal-additional-terms/loqate-capture for global Datasets listed as “GBL” on the Order Form and https://www.gbgplc.com/en/legal-and-regulatory/additional-terms-v6/loqate-anz/ for APAC specific Datasets listed as “APAC” on the Order Form; 

Permitted Purpose” means the permitted purpose for which the Customer may use the Service as specified in the Order Form; 

Service” means the Loqate ANZ service which comprises of the Datasets selected on the Order Form, together with the Standard Support Services as described on the Service Page and any other ancillary services provided by GBG to the Customer pursuant to this Agreement;   

Service Page” is available at https://www.gbg.com/legal-and-regulatory/products-v6/loqate-anz/

Standard Price” means GBG’s standard Charges for the use of Services and/or Datasets provided as part of the Service as set out in the Order Form and updated by GBG from time to time; and

Test Account” means an account provisioned in the Order Form at the line item of same name, issued in accordance with clause 3 of this Service Schedule and any other special terms that may apply specifically to such an account for the specific purpose of a Customer conducting testing of the Services, subject to restrictions that may be in place in relation to users, Charges, transactions, time or any other restrictions that the parties agree may apply during the relevant term applicable to the Test Account. 

1.2 The headings in this Agreement do not affect its interpretation.

2. TERM OF THE AGREEMENT

2.1 Save where an Order is for: (i) an Evaluation or (ii) a Batch, this Agreement will start on the Contract Start Date and will continue for the Initial Term and shall renew for further 12-month Renewal Terms unless terminated earlier in accordance with the Agreement.

3. PROVISION OF SERVICE

3.1 Where GBG provisions the Customer with a Test Account, the Customer agrees to use the Test Account in accordance with the following additional requirements: 

i. The Customer will be provisioned with a Test Account for the limited purpose of testing the Services in accordance with the term, Charges and transaction limits set out in the Order Form; 

ii. Should any use of the Test Account fall outside of the term, Charges or transaction limits set out in the Order Form, GBG will invoice the Customer any additional fees or Charges for that use at the standard licenced items rate; and 

iii. Any usage above the licenced items purchased transactions as set out in the Order Form for the Test Account will be deemed a Billable Transaction and charged as part of the production Licensed Items. If no production Licensed Items are included in the Order Form, the Customer will be charged at the standard rate. 

4. USE OF THE SERVICE

4.1 If a Source introduces or increases any fee for access or usage, GBG will notify the Customer by written notice of not less than ten (10) days and the Customer will be entitled to remove the source from the selected sources set out in the Order Form. If the Customer notifies GBG that it wishes to retain the use of that source, GBG is entitled to increase the Charge for access to that service by an equivalent amount, plus any relevant taxes.

5. CHARGES AND PAYMENT

5.1 The Charges specified in the Order Form shall apply during the Initial Term. 

5.2 Prepayments are valid for use of the Service in the 12-month period to which they apply and may not be carried over into subsequent years. 

5.3 Where the customer has agreed to an Annual Commitment, GBG shall monitor the Charges owed for Transactions carried out during each contractual year. In the event that the Charges paid or payable by a Customer in relation to the Transactions carried out via the Service are less than the Annual Commitment in total, then the Customer agrees to pay to GBG (within 14 days of receipt of GBG’s invoice) the outstanding balance to ensure that the Annual Commitment is met. 

5.4 If the Customer has received Preferential Pricing or if the Standard Pricing or payment terms that applied on the Contract Start Date have changed during the Initial Term then unless otherwise expressly agreed in writing between the Parties, GBG’s Standard Pricing and payment terms will prevail in respect of the Customer’s continued use of the Service after the Initial Term. 

5.5 If the Customer materially breaches the Agreement and has received Preferential Pricing, GBG may terminate the Agreement or withdraw the Preferential Pricing as a consequence of the breach. GBG shall provide 30 days’ notice of its intention to revoke such pricing. Following revocation, GBG’s Standard Prices and payment terms (as notified to the Customer) will apply from the date of the breach for the remainder of the Initial Term and any continued use thereafter. 

5.6 Notwithstanding anything else in this clause 4 or as may be set out in the Order Form, after the expiry of the Initial Term GBG shall be entitled to increase the Charges under an Order by giving the Customer not less than 30 days’ notice of the change. 

6. UPDATES AND UPGRADES

6.1 As part of GBG’s ongoing product lifecycle management programme, GBG will, from time to time, carry out Updates to the Service. In such circumstances where: 

i. The Update is made automatically to the live Service without the need for action on the part of the Customer, GBG shall notify the Customer of such Updates either via its Service Status Page available at gbgstatus.com or by any other means; 

ii. The Customer is required to take steps to install the Update and/or transition to the updated Service, GBG will inform the Customer in writing of such Update and advise them of the steps they need to take. The Customer will, as soon as reasonably possible, carry out the necessary steps detailed in the notice. 

6.2 The cost of Updates to the Service are included in the Licence Fee payable by the Customer. If additional Professional Services are required by the Customer in connection with an Update, GBG reserves the right to quote for such support separately. 

6.3 From time to time, GBG may release Upgrades to the Service. The Parties acknowledge and accept that to receive the benefit of an Upgrade the Customer may be required to pay additional Charges and/or agree to new terms and conditions. 

6.4 Where GBG is no longer able to support a Version of the Service or Solution, GBG shall provide the Customer with reasonable prior notice of its intention to withdraw support for the Discontinued Version. Such notice shall include details of: 

i. the date on which the Discontinued Version will cease to be available to the Customer and/or Consumer; 

ii. the action required by the Customer and/or Consumer to implement, install, integrate or move to the Current Version of the Service as part of an Update or Upgrade; and 

iii. the support available from GBG to assist the Customer and/or Consumer with the transition to the Current Version as part of any Update or Upgrade. 

6.5 If the Customer fails to transition to the Current Version of the Service within the specified time period in accordance with clause 4 above, GBG may, at its sole discretion from the date specified on the notice given in accordance with clause 15 of the GBG Terms: 

i. cease to provide Standard Support Services to the Customer in relation to the Discontinued Version; or 

ii. terminate this Agreement. 

7. MISCELLANEOUS 

7.1 All references to “$”, “AUD” or “dollars” shall, unless indicated otherwise, mean Australian Dollars.
