Investigate UI:
This Service Schedule is supplementary to the GBG Terms and applies to the GBG Investigate UI Service. Additional Terms apply where the relevant Datasets are selected on the Order Form.
1.1 In this Service Schedule the following definitions shall apply in addition to those contained within the GBG Terms:
“API” means application programming interface, which is a set of defined protocols for integrating software applications with the Service;
“Estimated Fair Usage Cap” means the number of included Investigations within a Customer’s Licence which is calculated as the number of Users multiplied by 10,000 Investigations per year of an Agreement;
“Graph” means a visualisation of the results of an Investigation displayed graphically and, where selected and applicable, any associated searches against the Per-Click Datasets;
“Investigate UI Additional Terms” means the Additional Terms relating to particular Datasets and/or aspects of the Service as updated from time to time which are available at https://gbgplc.com/en/legal-and-regulatory/legal-additional-terms/investigate;
“Investigation” means a search performed by a User against the core Datasets as outlined on the Order Form but excluding the Per-Click Datasets. An Investigation may or may not result in the generation of a Graph;
“Licence Fee” means the annual licence Charge for the use of the Service in accordance with the relevant pricing tier as specified on the Order Form;
“Per-Click Datasets” means the Datasets licenced to the Customer and listed on the Order Form that are not included within an Investigation and charged separately on a per-click basis for each Transaction;
“Saved Graph” means a Graph that a User of the Service saves at a point in time for future reference, subject to the provisions at clause 4;
“Service” means the Investigate UI service provided to the Customer which comprises of the Datasets selected on the Order Form together with the Standard Support Services and Training as described on the Service Page together with any other ancillary services provided by GBG to the Customer pursuant to the Agreement;
“Service Page” is available at https://www.gbgplc.com/en/legal-and-regulatory/products-v6/investigate; and
“Training” means the support and guidance provided to the Customer by GBG’s support team, as indicated on the Order Form, in accordance with the terms found on the Service Page as updated from time to time.
1.2 The headings in this Service Schedule do not affect its interpretation.
2.1 Save where an Order is for an Evaluation, the Agreement will start on the Contract Start Date and will continue for the Initial Term and shall automatically renew for further 12 month Renewal Terms unless terminated earlier in accordance with the terms of the Agreement.
3.1 Where the Order Form states than an Order is for an Evaluation, the Evaluation Term shall begin on the Contract Start Date and continue for the Initial Term specified unless the Evaluation is terminated earlier as a result of the Customer reaching the Estimated Fair Usage Cap or Evaluation Value Limit as detailed below at clause 3.3.
3.2 The Parties agree that, during the Evaluation Term the Customer shall be entitled to:
(a) Use the Service to carry out Investigations without Charge up to the Estimated Fair Usage Cap; and
(b) Use the Per-Click Datasets without Charge up to the Evaluation Value Limit specified on the Order Form.
3.3 If the Customer exceeds the Estimated Fair Usage Cap or the Evaluation Value Limit during the Initial Term, GBG will notify the Customer and the Evaluation Term and Agreement will terminate early. If the Estimated Fair Usage Cap and Evaluation Value Limit are not reached during the Initial Term this Agreement will automatically expire at the end of the Initial Term.
4.1 Users may save Graphs they create as part of an Investigation and, where selected and applicable, any associated search(s) against the Per-Click Datasets carried out via the Service.
4.2 Subject to clause 4.4 below, Saved Graphs will remain available to the User that saved a Graph for a period of 12 months from the date a Graph is saved, providing that the Agreement remains active and the User has a live account.
4.3 The Customer acknowledges and accepts that the act of saving a Graph saves the Results of an Investigation, and any associated search(es) against the Per-Click Datasets, at that point in time. Therefore, any future changes or updates to the data that could affect the Results of a Saved Graph will not appear when the User later accesses that Saved Graph.
4.4 Notwithstanding clause 4.2, the User will be responsible for deleting any Saved Graphs that are no longer required to ensure compliance with its own privacy and data retention policies and obligations under Applicable Data Protection Laws to ensure data is not retained for longer than is necessary.
5.1 Use of the Service is subject to the limitations of the Licence as set out in the Order Form. Specifically:
(a) Should the Customer need to increase the number of Authorised Users set out in its Licence, the Customer shall inform GBG promptly and if required purchase additional Authorised User licences from GBG. The Customer must ensure login details for Authorised Users are not shared and generic email addresses should not be provided which are not personal to an Authorised User.
(b) At the end of the relevant Initial Term or Renewal Term any unused Investigations and/or Prepayment will expire and cannot be carried forward.
(c) Should the Customer require access to the Service through an API, the Customer shall inform GBG and such a licence may be provisioned subject to appropriate terms being in place for such use.
5.2 Where the Customer has selected “Media” (as defined on the Service Page) as its Customer Use Case, the Customer’s use of the Service must be compliant with all applicable laws and regulations, and this clause 5. Specifically, the Customer:
(a) Must be able to evidence compliance in relation to exemptions under Applicable Data Protection Law.
(b) Warrants and represents that save where expressly permitted by law, it shall only use the Service to cleanse and enhance Customer Data for the purposes of updating and/or verifying the Customer Data and/or making contact with a data subject within the Customer Data.
(c) Except in circumstances where a Customer is subject to the necessary exemptions as detailed in Paragraph 26 of Part 5 of Schedule 2 of the Data Protection Act 2018, must not use the Service for the purposes of identifying a data subject where the Customer does not have the relevant permission from the data subject in accordance with the Data Protection Act 2018. For the avoidance of doubt Paragraph 26 of Part 5 of Schedule 2 of the Data Protection Act 2018 provides an exemption in respect of journalism in circumstances where a Customer reasonably believes that (having regard, in particular, to the special importance of the public interest in freedom of expression) publication would be in the public interest.
(d) Shall only apply the journalistic exemption when the Customer can;
i. ensure that the personal data in question is only processed with a view to the publication of journalistic material or use of artistic material;
ii. reasonably believe that, having regard in particular to the special importance of the public interest in freedom of expression, publication would be in the public interest; and
iii. reasonably believe that the application of the listed Data Protection Act 2018 provision would be incompatible with its journalistic or artistic purpose.
6.1 Save as set out in clauses 6.2, 6.3 and 6.5, on Renewal, all Charges shall renew automatically in line with the Customer’s existing Licence, Licence Fee, and agreed Prepayments.
6.2 In the event that during the Initial Term or applicable Renewal Term:
(a) the Customer has increased the number of Users; and/or
(b) the number of Investigations processed by the Customer exceeds or GBG (acting reasonably) believes will exceed the Estimated Fair Usage Cap,
(c) GBG shall notify the Customer and shall be entitled to increase the Charges to accommodate for the Customer’s continued use of the Service.
6.3 The Customer shall maintain accurate and up to date records regarding its use of the Service, the number of Users that access the Services. On receipt of GBG’s reasonable request, the Customer shall provide GBG with a fully completed licence declaration form confirming the details of its use of the Service. In the event that the licence declaration form reveals that the Customer has exceeded the limitations or restrictions set out in the Licence, GBG shall be entitled to increase the Charges to accommodate the Customer’s continued use of the Service.
6.4 All Charges for Per-Click Datasets will be deducted from the Prepayment on a monthly basis until the Prepayment is used up and thereafter shall be invoiced monthly in arrears.
6.5 Notwithstanding anything else in this clause 6, GBG shall be entitled to increase the Charges for the Licence Fee or the Per-Click Datasets under an Order by giving the Customer not less than 30 days’ notice prior to the expiry of the Initial Term or applicable Renewal Term of the change.
