Introducer Service Schedule

This Service Schedule is entered into pursuant to and forms part of the Master Partner Agreement (the “Agreement”) between GBG and the Partner. Capitalised terms used in this Service Schedule shall have the meanings given to them in the Master Partner Agreement – Core Terms unless otherwise defined herein. This Service Schedule sets out the specific terms, scope, and conditions applicable to the Services described below.

1. Definitions and interpretation

1.1 In this Service Schedule the following definitions shall apply in addition to those in the Core Terms:

“Commission Period” means, in respect of each End User Agreement, the period specified in the applicable Order Form, commencing on the date on which that End User Agreement takes effect.

“End User Agreement” means GBG's standard agreement for the provision of the applicable Service (consisting of an order form and terms and conditions) provided to the End User following a successful Introduction and signed by the End User and GBG.

“Introduction” means the provision of contact details of a representative at the Prospect who knows at least one individual at the Partner.   Such contact details are to be sent to the GBG email address notified to the Partner from time to time. "Introduce", “Introducing” and “Introduced” shall be construed accordingly.

“Revenue” means revenue generated for GBG as a result of the sale of the Service to an End User (provided that an End User Agreement is concluded within twelve months of the date of the Introduction) less any Sales Tax on the Service and any discounts or rebates granted by GBG to the End User.

“Service” means GBG Service as detailed on the Order Form.

“Territory” means the area(s) set out on the Order Form excluding the Restricted Territories.

2. Term of Service Schedule

2.1 The Order Form incorporating this Service Schedule shall become effective on the Contract Start Date and will continue for the Initial Term and thereafter until terminated earlier in accordance with this Agreement.

3. Appointment of the Introducer

3.1 Under this Service Schedule, GBG appoints the Partner to act as an Introducer and to be its non-exclusive Partner for the identification and Introduction of Prospects for the Service in the Territory.

3.2 The Partner shall be entitled to describe itself as an "Authorised Introducer" of GBG. Nothing in the Agreement shall create any agency, partnership, or other fiduciary relationship between the Parties.

3.3 The Partner shall have no authority to enter into or commit GBG to enter into any legally binding arrangement on behalf of GBG with any person or End User in relation to the Service or otherwise, nor to pledge the credit of GBG in any way.

3.4 During the Term the Partner shall not be directly concerned or interested in the development, manufacture or importation of any goods or services in the Territory which are similar to the Service or which (either alone or in conjunction with other goods or services) perform or are designed to perform the same or a similar function to that of the Service.

3.5 GBG may appoint other Introducers and sell the Service directly, and modify, replace or discontinue the Service from time to time on notice.

4. End Users

4.1 GBG reserves at all times the right to:

(a) refuse in its absolute discretion, to accept or to act upon any referral made under this Agreement and may at its sole discretion decide whether to engage in negotiations with a Prospect or to give any quotation in respect of the Service; and / or

(b) remove, amend, or vary the Service, its pricing and/or any standard conditions of the Service (including the End User Agreement).

4.2 For each Introduction, the Partner shall provide the relevant GBG account manager with the Prospect’s company name and address, contact name, email address, telephone number (where possible) and, where applicable its ICO registration number, together with a summary of the opportunity.

5. Commission and payment

5.1 In consideration for the Partner complying with its obligations under the Agreement and subject to the remainder of this clause 5, GBG shall pay to the Partner the Commission on the Revenue generated for GBG from the sale of the Service to End Users in the Territory as a result of Introductions made by the Partner, during the Commission Period.

5.2 Subject to clause 5.3, Commission shall become due following the end of the month in which GBG receives the Revenue from the End User during the Commission Period. For the avoidance of doubt Commission will not be payable on any Revenue generated in respect of any additional services or products purchased by an End User or a Prospect.

5.3 As soon as reasonably possible following the last day of each month, GBG shall send to the Partner a statement showing particulars of the Commission due for that month and setting out the main components used in calculating the amount of the Commission.

5.4 The Partner shall issue an invoice to GBG (in a form suitable for Sales Tax purposes) for the Commission due to the Partner each month as soon as practicable after receipt by the Partner of each statement of Commission sent to it by GBG in accordance with clause 5.3.

5.5 GBG shall pay the Partner the Commission due (less the value of any payments due from the Partner to GBG) within thirty (30) days of receipt of a valid and correct invoice provided by the Partner in accordance with clause 5.4.

5.6 Commission shall be paid to the Partner in the currency as set out in the Order Form. Payment shall be made by GBG by bank transfer to a single bank account nominated by the Partner which must be located in the same country in which the Partner is established.

5.7 No Commission shall accrue or be payable in respect of: (a) any Prospect Introduced after the termination of this Agreement; or (b) any Revenue received after expiry of the applicable Commission Period except in each case to the extent expressly provided under clause 5.8.

5.8 In the event only that this Agreement is terminated by GBG in accordance with clause 20.3 of the Core Terms, Commission shall continue to be payable on Revenue received by GBG during the six-month period following the effective date of termination, unless the applicable Commission Period expires earlier. For the avoidance of doubt, no Commission shall accrue or be payable in respect of Revenue received after the effective date of termination where: (a) the Partner terminates the Agreement for convenience; or (b) GBG terminates the Agreement as a result of any breach by the Partner, notwithstanding that an End User Agreement remains in force or its Commission Period has not expired.
