• GBG hosts the Supplier Data
• No Sub-processors used

The Supplier Data that GBG uses to provide IVA/Bankruptcy Matching is supplied by a number of GBG’s Data Suppliers. GBG is obliged under the terms of its agreement with its Data Supplier (Supplier 2) to ensure that all End Users agree to comply with the following provisions:

1. USE OF THE SUPPLIER DATA
1.1 The Data Supplier shall have the right to make any changes to the Supplier Data which are necessary to comply with any applicable law, or which do not materially affect the nature or quality of the Supplier Data. In the event of any changes, GBG shall notify the Client.
1.2 The Data Supplier may vary the content of the Supplier Data or the format of the Supplier Data at its discretion upon providing 4 months’ prior written notice.
1.3 The End User shall:
(a) Under no circumstances reproduce the Supplier Data, the Service or provide a similar service using the Supplier Data or information extracted from it;
(b) Not use the Supplier Data for the purposes of directing advertising or marketing materials to any legal or natural person by the End User or any of its clients or associated bodies corporate; and
(b) Either at GBG’s request, or immediately after the End User becomes aware, destroy all Supplier Data on its databases in relation to an individual as soon as either such data ceases to be accurate and up to date or it is no longer necessary to retain that data for legitimate business purposes. This obligation shall survive the expiry of this Agreement.
1.4 The Data Supplier does not warrant that the Supplier Data is accurate, complete, reliable, secure, useful, fit for purpose or timely.

2. DATA PROTECTION AND COMPLIANCE WITH RELEVANT LAWS
2.1 GBG does not use Sub-processors to provide this element of the Service as the Supplier Data is hosted by GBG.

3. LIABILITY
3.1 The End User acknowledges that GBG only has a limited licence to provide access to this Supplier Data and such access may be revoked or withdrawn at any time by the Data Supplier for which GBG cannot be held responsible.
3.2 In no event shall GBG or the Data Supplier be liable to the End User for any loss or damages arising from any interruption or cessation of the Supplier Data.
3.3 GBG and the Data Supplier hereby expressly excludes all liabilities in respect of inaccurate or incomplete information howsoever arising including (without limitation) those arising as a result of inaccuracies in the information provided to the Data Supplier.
3.4 The End User’s liability in relation to the misuse of the Supplier Data is unlimited.

4. TERMINATION
4.1 Notwithstanding the termination provisions between GBG and the Client in the General Terms, under the terms of GBG’s agreement with its Data Supplier, GBG may immediately cease to provide and terminate access to the Supplier Data if GBG ceases to be entitled to provide access to the Supplier Data or if GBG’s agreement with the Data Supplier is terminated.
