The Supplier Data that GBG uses to provide MPS data checks is supplied by GBG’s Data Supplier. GBG is obliged under the terms of its agreement with its Data Supplier to ensure that all End Users agree to comply with the following provisions. These terms apply to all MPS data checks. Individual MPS data checks are identified by an ID Number on the End User’s Order Form.

1. DEFINITIONS
1.1. In these Additional Terms, the following definitions shall apply, in addition to the definitions set out in the General Terms:
“Permitted Purpose” means use of the Supplier Data solely for the purpose of suppressing and validating telephone numbers.

2. USE OF THE SUPPLIER DATA
2.1. The Supplier Data may only be used for the Permitted Purpose in accordance with these terms.
2.2. The End User warrants that it shall not use the Supplier Data for any reason outside of the Permitted Purpose, and shall not use the Supplier Data to make any unsolicited call for direct marketing purposes.
2.3. The End User shall not copy or modify the Supplier Data or merge or combine it with any other information, or provide it to any third party.

3. DATA PROTECTION AND COMPLIANCE WITH RELEVANT LAWS
3.1. GBG does not use Sub-processors to provide this element of the Service as the Supplier Data is hosted by GBG.

4. LIABILITY
4.1. The Data Supplier expressly excludes all liabilities the End User may suffer in relation to the use of the Supplier Data to the extent that such loss is indirect, consequential, special or of a type that would not normally be expected to flow from the relevant breach or negligence or other default of the defaulting party or special, punitive, aggravated or exemplary damages.

5. TERMINATION
5.1. Notwithstanding the termination provisions between GBG and the End User in the General Terms, under the terms of GBG’s agreement with the Data Supplier, the supply of the Supplier Data can be terminated on one months’ notice if the supply is economically unviable and this cannot be remedied. GBG will use reasonable endeavours to find an alternative supplier for the Supplier Data on the same or similar commercial terms. In the event that GBG is unable to find an alternative at an acceptable cost to both Parties, either Party may terminate this part of the Service.
