The Supplier Data that GBG uses to provide Reference Data is supplied by GBG’s Data Supplier. GBG is obliged under the terms of its agreement with GBG’s Data Supplier to ensure that all End Users agree to comply with the following provisions. These terms apply to all Reference Data checks. Individual Reference Data checks can be identified by the ID number on the Order Form.

1. DEFINITIONS
1.1. In these Additional Terms, the following definitions shall apply, in addition to the definitions set out in the General Terms:
“Permitted Purpose” means the use and provision of the Supplier Service for screening purposes.
“Supplier Service” means the data and/or service provided by GBG’s Data Supplier, which is the subject of these terms.

2. USE OF THE SERVICE

2.1. The Supplier Service may only be used for the Permitted Purpose in accordance with these terms.
2.2. The End User warrants that it will not:
a) use the Supplier Service for any reason outside of the Permitted Purpose;
b) copy or modify the Supplier Service to create a derivative work based on the search results;
c) make the Supplier Service or information available to any unauthorised person, third party, including a parent, subsidiary or associated company;
d) Sub-license its rights to access and use the Supplier Service;
e) Republish or redistribute any content or material from the Supplier Service without GBG and the Data Supplier’s prior written consent;
f) Use the Supplier Service in any way that causes, or may cause, damage to the Supplier Service or impairment of the availability of the Supplier Service
g) Conduct any systematic or automated data scraping, data mining, data extraction or data harvesting, or other systematic or automated data collection activity, by means of or in relation to the Supplier Service.
h) Link to any material using or by means of the Supplier Service that would, if it were made available through the Supplier Service, breach the provisions of the Agreement and this Appendix.
i) Use of the Supplier Service must not contain or consist of, and the End User must not promote or distribute by means of the Supplier Service, any worms, viruses, spyware, adware or other harmful or malicious software, programs, routines, application or technologies.
j) Promote or distribute by means of the Supplier Service, any software, programs, routines, applications or technologies that will or may have a material negative effect upon the performance of a computer or introduce material security risks to a computer.

3. DATA PROTECTION AND COMPLIANCE WITH RELEVANT LAWS
3.1. The Supplier Service used to provide you with this element of the Service is hosted by the Data Supplier. In order to perform the Services, the Data Supplier shall act as Sub-processor of your Client Information (including any Personal Data supplied) for the sole purpose of delivering this element of the Service. The End User authorises GBG to appoint the Data Supplier as Sub-Processor for the purposes specified in this clause 3.
3.2. The Data Supplier is based in the UK which is located within the EEA. On this basis, Personal Data is not transferred outside of the EEA in order to provide End Users with access to this element of the Service.

4. INTELLECTUAL PROPERTY
4.1. Nothing in this agreement shall operate to assign or transfer any Intellectual Property Rights from the Data Supplier to the End User.
